析：此例中，原文的 mould design, performance test, technology in machining, erection, inspection 都可以称得上是术语，不可随便翻译，这些都应选择符合语境的技术术语译文。

3. 用词准确
a. 情态动词 May: 表示合同上的权利（right），权限（power）或特权（privilege）的场合中使用。（可）
Shall ：一般用来表示法律上可以强制执行的义务（obligation）。如未履行，即视为违约，并构成某种赔偿责任。
Shall 在译文中常表示为“应该，必须”等，也有不译的时候。（应）
May not ( 或 shall not): 用于禁止性义务，即“不得做什么”。绝不可用 cannot 或 must not。
Will: 一般使用在没有法律强制的情况下，也用做表示承担义务的声明，但语气和强制力比 shall 弱。
Should: 在合同中通常只用来表示语气较弱的假设，多译成“万一，如果，若”等。
例 例 1 ：
The parties hereto shall, first of all, settle any dispute arising from or in connection with the contract by friendly negotiations. Should such negotiations fail, such dispute may be referred to the People’s Court having jurisdiction on such dispute for settlement. 双方 应首先通过友好协商解决因合同而发生的或与合同有关的争议。

4. 词语重复、并列现象 (1) 同义词、近义词或相关词重复、并列的现象 如：

(2) 数字的重复 如：
The total value of the cargo is USD 40,000 (SAY: Forty Thousand US Dollars Only).

5. 用含名词的动词短语代替单个动词 grant consent to agree 赞同，同意 give application to apply 申请 give approval of approve 许可，批准 make preparations to prepare 准备
三、合同英语的句式结构特点：
1. 句子冗长，结构严谨，语序复杂 a. 主句的状语的位置，一般放在助动词后，行为动词前。
例 例 1 ：
The company shall, at all time during the term of the Joint Venture, effect and maintain full and adequate insurance against loss or damage by fire and such risks as are customarily issued in connection with the operation of the Company.
合资公司应在合资期间的任何时候，就火灾以及此类与公司经营相关的其他风险所造成的损失或损害进行投保，并保持充分和适当的保险。
例 例 2 ：
If, at any time during the execution of the Work, the Engineer requires the Contractor to make bore-holes or to carry out exploratory excavation, such requirement shall, in accordance with Clause 51, be the subject of an instruction. 在工程施工过程中的任何时间内，如果工程师要求承包人钻孔或进行勘探性开挖，则根据第 51 条规定，应以指示形式下达这一要求。
b. 从句复杂：从句的状语往往放在连词之后，从句的句子之前。
例 例 1 ：
If, at the time and in the place agreed under Sub-Clause 37.3, the materials or plant are not ready for inspecting or testing or if, as a result of the inspection or testing referred to in this Clause, the Engineer determines that the materials or plant are defective or otherwise not in accordance with the Contract, the Engineer may reject the materials or the plant and shall notify the Contractor thereof immediately. 如果在按第 37.3 条约定的时间和地点，供检查和检验的材料或工程设备未准备好，或者按本条规定所作的检查或检验结果，工程师认为材料或工程设备有缺陷或是不符合合同规定，则工程师可拒收这些材料或工程设备，并应立即通知承包人。

2. 条件句 例 例 1 ：
Should the carrying vessel be advanced or delayed, the Buyer or their chartering agent shall advise the sellers immediately and make necessary arrangement. 若 若装运轮提前或推迟抵达，买方或其运输代理人须立即通知卖方并做出必要安排。
例 例 2 ：
In case that no written objection is raised by either party one month before its expiry, this Agreement will be automatically extended for another year. 在期满前一个月， 如果双方未书面提出任何异议，本协议将自动延长一年。
例 例 3 ：
Providing that one of the parties fails to abide by the terms and conditions of this Agreement, the other party is entitled to terminate this Agreement. 如果一方未按本协议条款执行，另一方有权终止协议。
例 例 4 ：
In the event that the Contract Price or any other terms of the Contract changes after the issuance of the Letter of Credit, the Owner shall arrange for such Letter to be amended accordingly as soon as possible after any such changes. 如果在信用证开立后，合同总价或合同其他条款发生变化，业主应尽快安排对信用证进行相应的修改。

注：以 provided that 开头的条件句常位于主述条款之后，表示与主述条款相反的“例外”，通常汉译为“但”或“但是”，因此法律界将这种条款称为“但书（proviso）”。(proviso:限制性条款，附文，附带条件)
例 例 6 ：
Where an agreement is signed before the completion of the typescript the Publisher shall reserve the right not to publish the Work if the Publisher or its advisers think that it is not of the extent, character or standard which has been agreed. 作品脱稿之前签订协议 的，作品脱稿后， 若出版商或其顾问认为作品在篇幅、性质或水准上与原先协议不符，出版商保留不予出版该作品的权利。
例 例 7 ：
Where one of the following happens, no claim shall be requested. 有下列情形之一的 的，不得就损失索赔。
例 例 8 ：
Where such formalities as examination and approval or/and inspection are required for the carriage of goods, the shipper shall submit to the carrier the documents of fulfillment of the relevant formalities. 货物运输需要办理审批、检验等手续 的，托运人应当将办理完有关手续的文件提交承运人。
3. 非人称句 例 例 1 ：
If it is found necessary that some additional equipment is needed in the course of production, an additional order shall be agreed on through negotiation. 如发现在生产过程中需要增添设备时，可由双方另行协商予以增订。（译为无主句）
4. 使用被动结构：
例 例 1 ：
Failure to notify Party A shall be deemed to be a material breach of this Agreement. 未能（按上述要求）通知甲方的，则视为构成实质违约。（作谓语）
例 例 2 ：
The Seller agrees to sell and the Buyer agrees to buy the under-mentioned goods subject to terms and conditions set forth hereinafter as follows: 按如下列明条款，卖方同意出售，买方同意购买下述商品。（作后置定语）
例 例 3 ：
The Contractor shall, unless otherwise provided in the Contract, make his own arrangement for engagement of all staff and labor, local or other, and for their payment, housing, feeding and transport. 除合同另有规定外，承包人应自行安排从当地或其他地方雇用的所有职员和劳务人员，以及他们的报酬、住房、膳食和交通。（状语）
例 例 4 ：
The payment of all the expenses under this contract shall be made by M/T through Bank of China, Shenzhen Branch and the bank designated by Party B. 本合同项下所有的费用均应通过中国银行深圳分行和乙方指定的银行以信汇方式进行
支付。（谓语，后置定语）
5. 否定结构 例 例 1 ：
Nothing in Article 12.3 shall prevent Party A or any of its affiliation from continuing to carry on any of their present businesses. 合同第十二条第三款规定不得妨碍甲方或其分支机构持续经营现有业务。
(Article 12.3 shall not prevent…)
例 例 2 ：
Neither party, without prior consent of the other, may assign or transfer to any third party any equity interests held by its side.
未经对方同意，任一方不得向任何第三人转让其持有的股权。
例 例 3 ：
…, but in no case shall such refunding by Party B exceed 30 days from receipt from Party A of the notice terminating the contract.
但不论怎样，乙方该返还不得超过收到甲方终止合同通知后 30 日。
例 例 4 ：
…In no event shall the Seller be liable for lost profits. 对于利润损失，卖方概不承担责任。
例 例 5 ：

If neither party requests an extension, or if one of the parties says no to the extension, this contract will no longer be in force upon the expiration of the stipulated period. 若双方均未提出延长合同期或一方不同意延长合同期限，则本合同至期满之日起当即失效。
6. 主从复合句，从句经常用简略形式 例 例 1 ：
A party dissatisfied with the judgment may, within 15 days upon receipt of the judgment, file an appeal to the next upper People’s Court.
如不服本判决，该方可于接到判决之日起十五日内向上一级人民法院提起上诉。
例 例 2 ：
The Contractor shall, unless otherwise provided in the Contract, make his own arrangement for the engagement of all staff and labour, local or other, and for their payment, housing, feeding and transport. 除合同另有规定外，承包人应自行安排从当地或其他地方雇用所有职员和劳务人员，
以及他们的报酬、住房、膳食和交通。
四、大写字母的 运用 英语合同中，有些词的首字母需要大写。需要大写首字母的词除了基础英语中用在句首的一般情形外，尤其应注意下更几种情况：
1. 当事人 例如：
Party B shall inspect the raw materials supplied by Party A forthwith upon receipt thereof.
2. 机构名称 例如：
China International Economic and Trade Arbitration Commission 中国国际经济贸易仲裁委员会 The Board of Directors 董事会
3. 合同涉及的特指名称 在英文合同中，一些涉及到的关键词语，一般首字母要大写。通常会在合同的定义条款中定义，然后再重复使用。
对于合同中已明文定义的词语，无论在何处出现，其首字母都要大写，表示该词语按本合同解释，这样可避免指代不清，引起不必要的纠纷。
例如：
The Acceptance Test Manual shall be the document prepared by A which will be used by A and the Purchaser for checking that the Equipment is in accordance with the specification and Approved Data. 本验收实验手册系指由 A 提供的，供 A 与买方检验设备是否符合技术规格和认可资料的文件。
4. 本合同及合同具体条款及附件名称 例如：
Party A and Party B shall make full endeavors to fulfill this Contract within the stipulated period. The schedule of various activities is attached at Appendix 4.
5. 国际公约、惯例、国家法律法规、条例规章等的名称 例如：
This Contract is signed on a mutuality voluntary basis by and between the following Employer and Employee in accordance with “The Labour Law of The People’s Republic of China”.
本合同由聘用方和受聘方在自愿的基础上根据《中华人民共和国劳动法》签订。
6. 合同中的货币名称 例如：
Party A shall pay Party B a monthly salary of US$ 600 (SAY FIVE HUNDRED US DOLLARS ONLY). 甲方须每月付给乙方 600 美元整。
7. 为强调某些部分而用大写字母以资醒目 例如：

Section 2.01 Supply 第 第 2.01 条 供应 Subject to the terms and conditions of this Agreement, Supplier shall harvest, prepare, process and sell to Buyer Biomass in such quantities and at such time as specified in Purchase Orders placed by Buyer pursuant to this Agreement and on the other terms and conditions set forth in this Agreement. The Biomass shall be supplied dried and ground in bulk form and packaged in bulk containers in accordance with the Harvesting Guidelines.

Section 2.02 Purchase Price 第 第 2.02 条 售价 The purchase price to be paid by Buyer to Supplier for Biomass shall be $8,200 per ton (the “Initial Purchase Price”). Sales of Biomass shall be C.I.F. from supplier site, wherever it would be, cleared for export to the site designated by Buyer in Chongqing, the People’s Republic of China. After the twelve (12) month anniversary of the first delivery of Biomass to Buyer pursuant to this Agreement, Supplier may increase the Initial Purchase Price by the lower of (i) three percent (3%), or (ii) the percentage increase in the Consumer Price Index as reported by the United States Department of Labour for the corresponding period; provided, however, that a price increase may be made only one time during any twelve month period. Section 2.03 Purchase Orders 第 第 2.03 条 订货单 Purchases and sales of Biomass hereunder shall be implemented by Buyer’s issuance of individual purchase orders (“Purchase Orders”) specifying the quantity, desired delivery date and delivery address of the Products. The terms of this Agreement shall not be amended or modified by any Purchase Order or invoice, unless agreed to by the parties. Buyer estimates in good faith that it
will be able to utilize and purchase a minimum of 13.8 tons of Biomass per year; provided that the Biomass contains 0.03% of paclitaxel on an annual basis and is otherwise satisfactory to Buyer. 购买生物树粉时，买方应向供应方提供订货单，说明购买的数量、要求送货的时间并提供送货地址。未经甲乙双方同意，任何一方不得通过订单或发票更改本协议的条款。买方准确估计每年的订货量，每年至少订购 13.8 吨。生物树粉的紫衫醇年平均含量应为 0.03%或令买方满意。
