第一条、双方关系:

5. 不断提供有助于推销产品的意见和资料。
第八条、经销商责任
1. 自费维持一个有经营能力的机构,切实地为甲方推销产品。
2. 自费参加一些交易会或制作为了推销甲方产品的网站、目录等广告物。
3. 在本协议的有效时限内,第一年的每个月的交易额必须达到 万美元,以后每年递增20%

第九条、有效时限

第十条、违约

第十一条、一般条款
1. 不可抗力:
本协议的任何一方如遭遇到所力不能及的事由,以致全部或部份无法履行本协议,则可在下列范围内免除其责任。如:火灾、水灾、海啸、地震、雷击、台风、旋风、疫病、爆炸、机械事故、战争、暴乱、制裁、劳工纠纷或政府的政策性行为,或其它的确实非人力所能抗拒的原因。
但一方必须将得到政府或有关机构证明的不可抗力原因的书面通知,以最快的速度送达另一方并直到另一方确认收到该通知时为止。
2. 转让:
本协议在任何一方在未征得另一方以书面的方式明确表示同意之前,任何涉及本协议所规定的权利和义务的转让均属无效。
3. 商业机密
本协议的任何一方均不得在有效期内及期满的一年内向第三者泄漏双方之间的商业秘密,若由此而造成另一方的利益损失,则另一方有追索泄漏商业秘密一方的经济责任的权利。
4. 仲裁
凡因本协议或其相关的事情而导致争执时,双方应当友好协商解决,解决不成,应提请中国贸易促进委员会进行仲裁,该仲裁是终局的,双方由于进行仲裁而发生的合理费用均由败诉方负担。
5. 协议文本
本协议以英文和中文两种文字书就,如若两种文字在字义上产生抵触时,必须按照两种文字的意义做出折中判断。

Article 7, Responsibility of the Seller
1. Offer new products samples to Party B at his own expense, each sample is 1 to 2 pcs.
2. Agree that Party B introduces Party A's website to the customer when promoting business, and show his identity of exclusive distributor
3. During the validity period of agreement: If Party A get register of licensed products, or brand naem or other business symbol, must offer to Party B immediately.
4. Party A should transfer the new customers who want to establish business relationship with Party A in the range of to Party B.
5. Offer suggestion and materials contributing to promoting the sale of products constantly. Article 8, Responsbility of distributor
1. Maintain a organizations with management ability at his own expense, promote the sale of products for Party A practically.

responsibility of the party which lets out business secret.
4. Arbitration
While resulting in disagreeing because of this agreement or its relevant thing, the two parties should consult and solve in a friendly way, if can’t solve, should submit to China Council for the Promotion of International Trade ( CCPIT ) for arbitrating, the arbitration is the end, the rational expenses that happened between both parties because of carrying on arbitration are born by party losing the lawsuit.

篇三:区域独家经销协议(代理)
区域独家经销协议

上述甲乙双方经友好协商,基于自愿互利,共同发展的原则,就乙方在规定区域内销售甲方提供的产品和相关配件以及就为用户提供售后服务事宜,达成本协议。
第一条 授权与认可
1.1 甲方授权乙方为起授权区内独家经销商,负责甲方提供的XX品牌 之XX系列各型号产品在___________地区独家经销,如乙方要求新增辖区,应事先书面通知甲方并征得甲方书面同意,方可在新增辖区内经销。
1.2 甲方负责提供XX工厂XX品牌 的XX系列产品、产品出厂产品合格报告及合法的经销授权书给乙方,乙方在经销辖区内积极开拓销售网点,努力促销完成双方协定的销售。
第二条 经销条款
2.1甲方严格执行独家授权,对乙方获得的甲方授权销售的XX品牌 的XX系列产品,在完成协议规定的销售量并无违规的前提下,甲方不可在乙方经销区就此系列产品另行设定其他经销商。
2.2在协议有效期内,甲、乙双方认可乙方经销区域内销售量为每年30套,销售量为各型号销售量累计之和。以上销售量为协定一致的最低销售量。乙方完成销售计划外的数量,甲方施行阶梯返利政策。具体如下:
年销售量超过计划10-20%,甲方返还乙方超出数量总金额的1.5%;
年销售量超过计划20%-50%,甲方返还乙方超出数量总金额的3%;
年销售量超过计划50%-100%,甲方返还乙方超出数量总金额的4.5%;
返利金额可作为下一订单的货款,如经销合作终止,则由甲方支付到乙方帐号中。
2.3乙方协议签订之日起一个月内,订购首批产品并完成全部付款。首批进货量为5套 。否则,本协议自动终止。
2.4本协议期内的前6个月,为甲方对乙方的考察期。在此期间,前三个月乙方定货需达到___________套,后3个月乙方定货量累计需达到_______套。考察期满时,乙方达到上述定货量,为考察合格,方可执行本协议以下条款,否则甲方有权重新选择经销商。
2.5如果在协议的任何阶段,乙方向甲方提出足够达到适用阶段订货量的定单并且甲方收到相应的货款,但因甲方的原因未接受或未完成这些订单而没有满足乙方定货量,则甲方不得行使2.3 ,2.4 条的权利。
第三条 预约订货和退货
3.1订货时,乙方应提前向甲方下书面订货单(以传真件为准),订货单应有乙方法人代表签字并加盖公章。每份订货单均构成一份独立的购销协议,该订单自甲方收到乙方货款时生效,本协议的所有条款为该订单的当然条款。
3.2协议期内,首订单不接受退货请求,解释见第五项条款。对于再次订购后对未实现销售的部分,如果乙方要求退货,或乙方未达到销售目标被取消经商资格发生退货,乙方应保证所退货物包装完好、附件齐全且无任何损坏,甲方接受以乙方订购价的六折退回完整产品。
3.3货物交货地为乙方指定的国内存储地点:__________________。货物从甲方到达乙方的物流费用由乙方自行承担。
第四条 价格和价格保护
4.1 产品价格的制定权和发布权均在甲方,产品实行全国统一的指导价和最低限价。
4.2乙方在接到甲方要求上报的库存清单和年近期订单通知后,必须在7 日内以传真方式向甲方汇报库存和近期订单,以报表的形式提供库存产品的总套数和每套产品的序列号,并保证其报表的真实性。否则,乙方将失去根据 4.3 条可以要求的任何权利。
4.3如果甲方在发出产品之日60天内,甲方降低了产品的进货价格,甲方将对降
价之日前60天内的订货给予价格保护,甲方按乙方60天内核定的订货数量补偿乙方新旧的差价。
第五条 履约保证金
为了更好的规范市场,保护双方合作的利益,乙方首批订货款将同时具有经销合作的保证金的性质,除产品质量以外的情况,首订单不接受退货。产品质量问题另行议定。
第六条 市场推广和市场保护
6.1乙方必须按照甲方制定的价格体系进行销售,在未征得甲方同意的情况下,低价抛售或抬高售价超过5%均属违约行为。一旦违约,甲方有权视情节轻重决定对乙方进行处罚直至终止协议。
6.2甲方实行区域独家经销规定。乙方只能在授权区域内销售本协议规定的产品,禁止跨区销售。乙方直接或通过辖区内第三方将其订购的产品在其授权的区域之外销售应征得甲方同意,并及时通知货物售出地区域经销商,违反前述规定擅自销售的,需以双倍的零售价格回购违规销售的产品,同时甲方有权对乙方视轻重进行惩罚性罚款直至终止本协议。
6.3乙方应积极有效的开拓市场,并监控其被授权销售区域内的违规销售行为,一经发现,应立即通知甲方,甲方有义务对举报违规行为进行处理,在_______个工作日完成调查并出具书面处理意见。
6.4为确保区域化销售、一体化价格的顺利实施,甲方之前对产品序列号登记备案,乙方在销售过程中必须全程对产品实施监控,且在开具销售发票时,必须将产品的序列号备注在产品的销售发票上,并且每月向甲方汇总一次。
第七条 店面陈列及广告投放
7.1甲方要求乙方在主要城市区内不小于_______的店面,至少陈列两种类型产品,并在显要位置张贴由甲方提供的统一的宣传条幅和海报。
7.2 甲方向乙方提供相关的广告及宣传资料,乙方负责经销区域内的广告宣传,宣传内容必须符合甲方整体企业和产品形象。须征得甲方书面同意。
第八条 安装培训
8.1甲方负责乙方的安装培训与指导,乙方申报培训人员人数,人员组成情况,由甲方视总体情况统一安排培训时间、地点,并及时通知乙方。
8.2乙方负责所经销区域的产品安装工作,如有技术难题,可向甲方请求支持,甲方有义务协助解决。
8.3乙方应配备至少一名成熟的技术人员,负责客户咨询与产品安装的具体工作。
第九条 维修和售后服务(应根据工厂给出的对应)
9.1甲方承诺XX品牌 的XX系列产品免费维修期——年,售后2年内因产品质量问题可免费维修,无法维修可申请退货。保修期到期后8年维修只收工本费,乙方应当协助甲方搞好当地的售后服务工作,对确属甲方产品质量问题,依据保修卡内容的有关规定实行保修,乙方有义务协助甲方处理简单维修的相关事务;
如果因乙方原因造成产品损坏等后果并给甲方带来损失的,乙方应承担责任。
9.2甲方定期向乙方提供有关产品的技术信息、技术支持,并建立完善的售后服务系统,以便为用户更好地服务。
第十条 责任赔偿条款
10.1由甲方负责的,因产品质量而造成用户或第三人财产损失和人员伤亡的,赔偿责任由甲方负责;
由乙方负责的,因安装不合理而造成用户或第三人财产损失和人身伤亡的,赔偿责任由乙方负责。
10.2在安装和售后服务过程中,由于乙方违规操作造成用户或第三人财产损失和人身伤亡的,乙方负赔偿责任;

第十一条 知识产权
11.1乙方应保证:明确知道“_______”为甲方商标,乙方仅为销售、推广和宣传甲方产品,并以甲方认可的方式使用该商标。
11.2 乙方向甲方声明并保证:乙方尊重甲方的知识产权,对有关“XXX品牌”相关的商标权、著作权、专利权等权利,乙方必须按照甲方的指导加以使用。未经甲
方同意,乙方不得对甲方产品及其包装进行修改,不得随意加贴其他商标。11.3 对于乙方的错用和侵权行为,甲方有权终止协议并要求赔偿。
11.4 乙方作为甲方的经销商,有权利、有义务在其经销区域内积极维护甲方的知识产权,对发现侵犯甲方知识产权的行为,应及时制止并通报甲方。
第十二条 违约责任
12.1 乙方不得违反甲方的价格政策,低价倾销或抬高价格销售甲方产品(附价格体系表)。
12.2 乙方不得跨越本协议规定的经销范围,向辖区外第三方销售甲方产品。12.3 经销商授予权归甲方所有,乙方无权发展经销商。
12.4 乙方不得与其他经销商串通做出有损甲方利益的行为。
12.5 如甲方发现乙方有上述违约行为,甲方有权视情节轻重予以惩罚性罚款直至终止协议。
第十三条 保密条款
13.1 乙方有义务对甲方提供的各项技术保密。
13.2 乙方有义务对甲方提供的经销制度、协议及往来的、商业信函保密。13.3 乙方有义务对甲方制定的价格体系保密。
13.4 乙方有义务对甲方的整体营销战略和具体的营销战术部署保密。
第十四条 期限和终止
14.1 本协议由双方法人代表签字并加盖公章,期限_______年,从_______至 _______年。如果乙方能够完成双方签订的协议销售额并无严重违约行为,甲、乙双方可以续签协议,但双方须根据当地、当时的市场情况另行签订销售协议。
14.2 当下列任何一种情况发生后,任何一方有权提前终止本协议,并书面另一方。
(1)何一方严重违反本协议。
(2)任何一方破产或进入清算程序。
